IT company Mindtree Tuesday formed a panel of independent directors to look into "unsolicited open offer" by infrastructure major Larsen & Toubro to give its recommendations. The board of the company has also decided that it will not move ahead with its share buyback plan. The board formed a committee of independent directors under lead independent director and Radio City CEO Apurva Purohit to provide its recommendation on "unsolicited offer" made by L&T, the company said in a regulatory filing. "The board of directors of the company, at it meeting held on March 26, 2019, has decided not to proceed with a buy-back of equity shares of the company," Mindtree said in a regulatory filing. L&T has made an open offer to acquire over 5.13 crore shares, accounting for 31 per cent stake, of Mindtree for Rs 980 per cent share aggregating to Rs 5,030 crore. The Borivli police have booked a 25-year-old criminal who allegedly attacked an on-duty police constable while he was in the lock-up at Borivli police station. The accused was identified as Shankar Satpal Pival. According to police sources, the accused Pival attacked Chavan when he was uncuffing the former. Pival allegedly slapped Chavan and smashed his head on the nets of the police station thereby injuring his nose. A former aide of underworld's fugitive don Dawood Ibrahim died in a private hospital in south Mumbai. The deceased identified as Shakeel Ahmad Mohammad Shaikh alias Lambu (62) was admitted in a hospital for a heart-related issue and was declared dead by doctors on Monday morning. Lambu had several cases registered against him but the city police failed to prove the charges in court and he was acquitted on all counts. In the 80s, he allegedly worked with Dawood Ibrahim and handled his gold business in Mumbai via sea route. An officer said," Lambu was a liaison and allegedly had good relations with customs officials which helped him smuggle Dawood's gold." New Delhi: The Supreme Court on Tuesday directed the Election Commission to make "all endeavour to ensure" allotment of a common symbol, from among 198 free symbols, to the 59 candidates of the T.T.V. Dhinakaran-led Amma Makkal Munnetra Kazhagam (AMMK) party. The 59 candidates in question are contesting 40 seats for the Lok Sabha in Tamil Nadu and Puducherry, and 19 for the by-elections to the Tamil Nadu Assembly. State-owned Power Finance Corporation (PFC) on Thursday will make the entire payment of Rs 14,500 crore to the government for acquiring 52.63 per cent stake in REC, a source said. The deal would help the government meet its disinvestment target of Rs 80,000 crore for the current financial year ending on March 31. "The entire consideration of Rs 14,500 crore for acquiring 52.63 per cent equity of Government of India will be paid by the PFC through RTGS (real-time gross settlement) mode on March 28, 2019," the source privy to the development told PTI. The source said PFC Chairman and Managing Director Rajeev Sharma will hand over the RTGS advice to Power Minister R K Singh on Thursday to mark the conclusion of this acquisition deal and the money would be transferred to the government's account. PFC has raised money from Bank of Baroda, Life Insurance Corporation and State Bank of India, among others, to make the payment, the source added. Sebi fines 5 entities Rs 28 lakh for fraudulent trade

Capital markets regulator Sebi imposed a total fine of Rs 28 lakh on five entities for fraudulent and manipulative trading in illiquid stock options segment on the BSE. After observing a large-scale reversal of trades in the illiquid stock options segment, Sebi conducted a probe from April 2014 to September 2015 and found that 81.38 per cent of the trades executed in stock options were non-genuine, which led to the creation of artificial volume. The regulator noted that the five entities were among those that executed reversal of trades. The entities placed buy and sell orders in a synchronised manner and reversed the trades within a short time with wide variation in prices of the trades. The reversal trades executed by the entities are non-genuine trades as they are not executed in the normal course of trading, lack basic trading rationale, and lead to false or misleading appearance of trading in terms of generation of artificial volumes, the regulator said. In a unique order, the Delhi High Court on Tuesday directed a major Indian restaurant chain to use the Rs 20 lakh fine, imposed on it for violating the trademark of French luxury fashion goods manufacturer Hermes, to provide mid-day meals and sanitary napkins at several orphanages and foster care homes in the national capital. Justice Najmi Waziri told the restaurant chain owner, Riyaaz Nasruddin Amlani, that mid-day meals would be provided at 5 orphanages and 10 foster care homes for the next two years and the sanitary napkins would also be supplied there for one year. The court also directed Amlani's company, Impresario Entertainment and Hospitality Pvt Ltd, to install a commercial grade water purifier at a 150-year old orphanage, Bachhiyon ka Ghar, apart from supplying sanitary pads there. The restaurant chain, which runs the popular bar and lounge 'Odeon Social' in the heart of the city at Connaught Place, has to get the water purifier installed within two weeks, the court said .....
                 

SC to hear petitions on electoral bonds on April 2

The Supreme Court Tuesday said it will hear on April 2 the petitions which have challenged the issuance of electoral bonds by the government. The matter came up for hearing before a bench comprising Chief Justice Ranjan Gogoi and Justices Deepak Gupta and Sanjiv Khanna. The bench told advocate Prashant Bhushan, appearing for one of the petitioners, Association for Democratic Reforms (ADR), an NGO, that the matter would be heard by an appropriate bench on April 2. "We will not be sitting in this combination. We will list the case before another bench next week," it said. ADR recently filed an application in the apex court seeking stay on the Electoral Bond Scheme, 2018 which was notified by the Centre in January last year. It said amendments carried out in relevant Acts have "opened the floodgates to unlimited corporate donations to political parties and anonymous financing by Indian as well as foreign companies which can have serious repercussions on the Indian democracy".
